Terms of Use
Terms of Use
Last updated: June 2026
These Terms of Use (the "Terms") constitute the agreement between KHISHANGO SARLU and its users. They are governed by the laws of Cameroon and the OHADA Uniform Acts. By accessing the platform or creating an account, you acknowledge that you have read, understood, and accepted them without reservation.
Article 1. Definitions
For the purposes of these Terms, the following terms have the meanings set out below:
- "Platform": the Khishango Progressive Web App (PWA), accessible via khishango.com, together with all related services (booking, secure payment, messaging, notifications, learning follow-up).
- "Company" or "Khishango": KHISHANGO, a Single-Member Limited Liability Company (SARLU) under Cameroonian law, registered with the Mbouda Trade and Personal Property Credit Register (RCCM), with its registered office in Mbouda, West Region, and operational establishment in Douala, Littoral Region, Republic of Cameroon.
- "User": any natural person of legal age or legal representative of a minor accessing the Platform, regardless of status (Teacher, Parent, or Independent Learner).
- "Teacher" (also referred to as "tutor" in the interface): any natural person, professional or otherwise, who provides private lessons or training to one or more Learners through a verified Khishango profile. The Teacher acts independently, with no relationship of subordination to Khishango, and remains solely responsible for the educational quality of services delivered. The terms "Teacher" and "tutor" refer to the same legal capacity and are interchangeable in these Terms.
- "Parent": an adult User managing one or more minor Learner profiles and able to book and pay for Sessions on their behalf.
- "Learner": an adult or minor student benefiting from Sessions. A minor acts through their Parent, who remains contractually responsible.
- "Session": a private lesson booked through the Platform, either in-person or online (video conference).
- "Commission": Khishango's remuneration, calculated as a percentage of each paid Session amount, deducted before transfer to the Teacher. The applicable rate is the one in force at the time of payment and displayed on the Platform.
- "Payout": transfer of net funds (Session amount minus Commission) to the Teacher, according to the schedule defined in Article 7.
- "Rating" or "Review": a numerical and/or written assessment left exclusively by a Parent or Learner after a validated Session regarding the Teacher who delivered that Session.
Article 2. Purpose and role of Khishango
Khishango provides a digital intermediation service enabling matching between independent Teachers and families or Learners, within the Republic of Cameroon and internationally for Cameroonian users. The Platform notably includes the following services: Session booking, secure payment, integrated messaging, learning follow-up, multi-child management, notifications, and reviews.
Khishango is neither the employer of Teachers nor an educational institution within the meaning of Cameroonian school regulations. The educational services agreement is concluded directly between the Teacher and the Parent or Learner; Khishango acts as a technical intermediary and trusted payment third party.
In its capacity as intermediary, Khishango cannot be held liable for the educational quality of Sessions, incidents occurring during in-person sessions, or contractual breaches between Users, subject to Article 16.
Article 3. Access conditions and account creation
Registration on the Platform is open to any natural person at least eighteen (18) years old. Minors may access the service exclusively through a Parent holding a validated account, who assumes full responsibility for bookings and payments made.
Registration is completed using a valid email address or Cameroonian phone number, with OTP code verification or confirmation link. The User guarantees the accuracy, completeness, and truthfulness of the information provided (civil identity, contact details, city, district, school level where applicable).
Acceptance of these Terms and the Privacy Policy is mandatory upon account creation. Such acceptance is timestamped and archived by Khishango in accordance with applicable regulations.
Each User is responsible for the confidentiality of their login credentials. Any unauthorized third-party use of the account must be reported without delay to support@khishango.com.
Khishango reserves the right to refuse, suspend, or delete any account in case of false information, fraud, abusive behavior, attempt to bypass the payment system, or violation of these Terms, without prejudice to any civil or criminal action.
Article 4. Teacher accounts - registration and obligations
The Teacher completes a registration flow including creation of a detailed profile (presentation, subjects taught - limited to two (2) active subjects per profile, levels, availability, rates, teaching modes). Khishango verifies supporting documents (diploma, identity document) before activating the public profile.
The Teacher expressly and irrevocably undertakes to:
- (i) deliver all confirmed Sessions in full, for the total duration booked and paid by the Parent or Learner, except for a valid reason duly justified under Article 8;
- (ii) attend at the agreed time and notify without delay in case of impediment;
- (iii) provide quality teaching adapted to the Learner's level and educational needs;
- (iv) respect the Learner's dignity and physical and moral integrity, with heightened vigilance toward minors, in accordance with Cameroonian child protection law;
- (v) never solicit, accept, or receive payment outside the Platform for Sessions booked through Khishango, failing which the account may be immediately suspended or terminated and improperly received amounts must be refunded;
- (vi) keep availability updated on the Platform;
- (vii) comply with applicable Cameroonian law, notably in intellectual property matters (Law No. 2000/011), minor protection, and cybercrime prevention (Law No. 2010/012).
Khishango may remove a Teacher profile, limit its visibility, suspend payouts, or terminate the account in case of repeated reports, substantiated negative reviews, unjustified no-shows, or any serious breach of these Terms. Sanction procedures are detailed in Article 8.
Article 5. Parent and Learner accounts
The Parent may create and manage several child profiles (first name, last name, class, school) from their personal space. The Parent is responsible for selecting the Teacher, validating Sessions, refund requests, and published reviews.
An adult Learner has their own account and manages bookings independently.
The Parent and Learner undertake to:
- (i) provide accurate information about the Learner's school level and educational needs;
- (ii) respect schedules of confirmed Sessions and notify the Teacher in case of impediment;
- (iii) treat the Teacher respectfully and courteously, without harassment, discriminatory conduct, or unlawful request;
- (iv) report any incident, breach, or problematic behavior through the provided tools (integrated messaging, issue reporting, dispute form).
Article 6. Booking process
A Session is booked exclusively online through the Platform, as follows: selection of Teacher, available time slot, teaching mode (in-person or online), relevant Learner profile, then secure payment.
A time slot may be temporarily locked ("hold" status) during payment processing. If payment is abandoned or fails, the booking is automatically canceled and the slot released.
After payment confirmation, the Teacher receives a confirmation request notification. The Teacher has three (3) hours to accept or decline the request. If no response is provided within that period, the booking expires and is automatically canceled; the Parent or Learner may then request a refund under Article 10.
The Teacher must accept a request only if payment has effectively been received and confirmed by the Platform. For online Sessions, a video-conference link is communicated after acceptance. For in-person Sessions, the location is agreed between the parties.
Article 7. Pricing, commission, payments, and payouts
All amounts are stated and paid in CFA Francs (FCFA). Accepted payment methods include MTN Mobile Money, Orange Money, and bank card, through Khishango's payment partners (CinetPay and/or any other approved aggregator), depending on Platform availability and configuration.
COMMISSION RATE - Khishango deducts a fifteen percent (15%) Commission on the pre-tax amount of each paid Session. This rate applies to all bookings concluded from the effective date of this version of the Terms. The applicable rate is the one in force at payment time and displayed on the Platform at booking. Khishango reserves the right to modify this rate subject to the notice period referred to in Article 19.
Funds are held by Khishango or its payment provider until Session validation or resolution of any dispute, in accordance with the terms defined in Article 11.
The Teacher receives the net amount of each Session (gross Session price minus the 15% Commission) according to the following payout schedule:
PAYOUT SCHEDULE - Teacher payouts are made up to two times per month, according to a schedule defined by Khishango and communicated to Teachers through the Platform or notifications. Khishango reserves the right to modify this payout schedule at any time, subject to informing Teachers with reasonable notice. Payouts are subject to validation of relevant Sessions and the Platform's anti-fraud checks.
Payout is triggered after Session validation, subject to no ongoing dispute. Processing times of Mobile Money operators, banking institutions, and telecommunication networks are beyond Khishango's control and cannot engage Khishango's liability.
In case of proven fraud, ongoing dispute, account suspension, or breach of these Terms, Khishango may block payouts to the relevant Teacher for the duration of review, without this constituting fault by Khishango.
Article 8. Teacher service obligations
The obligation to fully deliver each confirmed Session is an essential obligation of the agreement between the Teacher and the Parent or Learner. The Teacher undertakes to complete all booked and paid hours, except in case of a valid reason as defined below.
The following constitute valid reasons for absence from, or interruption of, a Session, subject to justification:
- Sudden illness of the Teacher or a close family member, evidenced where applicable by medical documentation;
- Serious and unforeseeable family or personal emergency;
- Major technical issue (prolonged power outage, network failure) for online Sessions, duly documented;
- Force majeure under Cameroonian law and OHADA (natural disaster, public disorder, etc.).
The following do not constitute valid reasons:
- Another professional or personal commitment planned in advance;
- A disagreement with the Parent or Learner that does not involve a security incident;
- Any reason of personal convenience.
In case of breach of the obligation to deliver a Session in full without valid reason, Khishango may apply the following progressive sanctions, depending on frequency and seriousness of breaches:
- Formal warning notified to the Teacher via internal messaging or email;
- Temporary reduction of profile visibility in search results;
- Temporary suspension of Teacher profile, with blocking of new bookings for a determined period;
- Suspension of ongoing payouts during review;
- Permanent removal of profile from the Platform and account termination without compensation, in case of repeated breaches or a single serious misconduct (abandonment of a minor, dangerous behavior, proven fraud).
The Teacher is informed of any contemplated sanction and has forty-eight (48) hours to submit observations before any suspension or removal decision, except in proven emergency requiring immediate protective measures for Users.
Article 9. Rating system
Khishango implements a Teacher review system to inform Parents and Learners about the quality of services delivered on the Platform.
FUNDAMENTAL PRINCIPLE - Only Parents and Learners are authorized to review Teachers. Teachers may not review Parents or Learners. This one-way system ensures transparency and trust for families using the Platform.
The rating system operates as follows:
- The ability to rate a Teacher is available only after validation of a Session actually delivered by that Teacher. No review may be published before Session validation.
- Each validated Session gives entitlement to one (1) unique rating on a scale from one (1) to five (5), with an optional text comment.
- Rating and comment are moderated by the Khishango team before publication. Khishango may reject or remove any review containing abusive, defamatory, discriminatory content, non-compliant statements under these Terms, or content clearly unrelated to the educational quality of the Session.
- The overall rating displayed on a Teacher's profile is the average of published ratings.
- The Teacher may report any review they consider abusive or non-compliant with these Terms; Khishango reviews the report and may remove the review if found non-compliant.
- Reviews contribute to trust on the Platform and may influence the visibility of the Teacher's profile in search results.
Article 10. Cancellations and refunds
The following rules apply to Session cancellations:
a) Before Teacher confirmation: The Parent or Learner may cancel the booking as long as the Teacher has not accepted. Full refund is granted upon request submitted within forty-eight (48) hours after payment.
b) Refusal or confirmation window expiry (3 hours): The Session is automatically canceled. The Parent or Learner has forty-eight (48) hours to request a refund via the Platform.
c) Cancellation by Teacher after confirmation: The Teacher may cancel only more than three (3) hours before Session start, stating a reason within the allowed categories. The Parent or Learner has forty-eight (48) hours to request a refund.
d) After confirmation, Parent/Learner side: Parent and Learner may no longer unilaterally cancel a confirmed Session through the Platform. Any change must be agreed with the Teacher through messaging or via Khishango support.
Refund requests are reviewed by the Khishango team within forty-eight (48) business hours. Mobile Money refunds are processed manually within three (3) to five (5) business days, depending on operator timelines. After forty-eight (48) hours following cancellation, no refund request may be submitted, except where mandatory law applies or where Khishango decides otherwise in case of established dispute.
Article 11. Session conduct, validation, and disputes
At the end of each Session, the Teacher may mark it as completed on the Platform. The Parent or Learner has a defined period to confirm proper completion or report an incident.
In case of mutual confirmation or automatic validation upon expiry of the challenge period, the Session is deemed completed and Teacher payout may be triggered under the bimonthly schedule defined in Article 7.
In case of report of total or partial non-performance, or dispute as to service quality, Khishango reviews submitted elements (timestamps, messages, reasons, supporting documents) and may order a full or partial refund, or validate the Session. Khishango's decision is final within the Platform, without prejudice to the parties' right to judicial recourse.
Article 12. Rescheduling
Only the Teacher may propose rescheduling of an already confirmed Session, through the dedicated tools, at least twelve (12) hours before the initially scheduled time, within the limit of the number of reschedulings authorized by the system.
Parent and Learner do not have a unilateral right to reschedule after confirmation. They may contact the Teacher through messaging or request Khishango support for any modification.
Article 13. Messaging, notifications, and conduct
Integrated messaging is reserved for exchanges related to bookings, Sessions, and the educational relationship. Users are strictly prohibited from:
- Any harassment, threat, abusive, discriminatory, or degrading statement toward another User;
- Any unlawful content under Cameroonian law (Law No. 2010/012 on cybercrime);
- Any religious, political, or ideological proselytism;
- Any solicitation or agreement for off-platform payment for Sessions booked through Khishango;
- Any sharing of personal contact details (phone number, address) for the purpose of bypassing the booking system.
Khishango sends notifications (in-app, email, SMS, WhatsApp, push) regarding bookings, payments, payouts, reminders, and messages. The User may adjust certain preferences from their profile. Khishango may suspend messaging access in case of reported and established abuse.
Article 14. Intellectual property
The KHISHANGO trademark, graphical interface, texts, graphics, logos, software, databases, and all other elements of the Platform are protected by intellectual property law and belong exclusively to Khishango SARLU. Any reproduction, extraction, representation, or distribution not expressly authorized is strictly prohibited.
Educational content provided by Teachers (course materials, exercises, documents) remains their exclusive intellectual property. Learner and Parent acquire only a personal, non-commercial, non-transferable right of use, strictly limited to the educational purpose for which the content was shared.
Article 15. Personal data
Processing of Users' personal data is governed by Khishango's Privacy Policy, a separate document forming an integral part of these Terms. Khishango processes data in accordance with Law No. 2024/017 of 18 December 2024 on personal data protection in Cameroon and applicable principles of OHADA law.
Users have the right to access, rectify, port, and erase their personal data. These rights may be exercised by email at support@khishango.com or contact@khishango.com, or through the "My data" section in the User profile.
Khishango undertakes not to assign, rent, or sell Users' personal data to third parties for commercial purposes without prior and explicit consent of the concerned individuals.
Article 16. Liability
Khishango uses all reasonable means to ensure Platform availability, security, and compliance, without being able to guarantee uninterrupted access or complete absence of errors.
Khishango is not liable for damages resulting from:
- (i) The educational quality of the relationship between Teacher and Learner, which remains the Teacher's exclusive responsibility;
- (ii) Incidents occurring during in-person Sessions, outside the Platform's control;
- (iii) Network failures, power outages, or malfunctions of Mobile Money or banking payment providers;
- (iv) Non-compliant use of the Platform by the User;
- (v) Content published by Users (reviews, messages, documents).
Khishango's financial liability, in case of proven fault directly attributable to it, is limited to the amount of Commissions actually received on the relevant Sessions during the twelve (12) months preceding the alleged damage, except in case of gross negligence or wilful misconduct by Khishango.
The occurrence of force majeure under Cameroonian law and OHADA (natural disaster, war, administrative decision, pandemic, major failure of national infrastructure) releases Khishango from liability for delays or failures occurring during such period.
Article 17. Termination and sanctions
The User may request deletion of their account at any time by contacting Khishango support, subject to prior completion of ongoing confirmed Sessions and compliance with Khishango's accounting obligations (retention of transaction data).
Khishango may suspend or terminate a User account in the following cases:
- Without prior notice: in case of proven fraud, conduct creating an immediate risk for another User's safety (especially a minor Learner), fake profile, or identity theft;
- With reasonable prior notice by email or in-app notification: in case of repeated breach of these Terms, persistent abusive conduct, or serious service-quality failures.
Account termination does not affect rights and obligations arising beforehand (received payments, due refunds, ongoing disputes, confidentiality obligations). Data is retained in accordance with applicable legal obligations.
Article 18. Dispute resolution
In case of dispute relating to performance of these Terms or use of the Platform, the User is invited to contact Khishango support first (support@khishango.com, WhatsApp, or the "Report an issue" form) in order to seek an amicable resolution within fifteen (15) business days from referral.
Failing amicable agreement and subject to mandatory consumer protection provisions in Cameroon, any dispute relating to these Terms falls under the exclusive jurisdiction of the courts of Douala, Republic of Cameroon, notwithstanding multiple defendants or third-party proceedings.
These Terms are governed exclusively by the laws of the Republic of Cameroon. For cross-border commercial aspects, relevant OHADA Uniform Acts apply subsidiarily.
Article 19. Amendments to the Terms
Khishango reserves the right to amend these Terms at any time, in particular to reflect changes in offered services, legal and regulatory obligations, or market practices.
In case of substantial amendment - including any change to the Commission rate or payout schedule - Users are informed by in-app notification and/or email at least fifteen (15) days before the new provisions take effect.
Continued use of the Platform after entry into force of the new Terms constitutes acceptance thereof, subject to consumer rights under Cameroonian law. The update date is indicated at the top of each published version.
Article 20. Miscellaneous provisions and contact
If one or more provisions of these Terms are declared null or unenforceable by a competent court, the remaining provisions remain fully effective, unless the invalidated provisions are essential to the overall contractual framework.
Khishango's failure to rely on a breach of any provision of these Terms shall not be interpreted as a permanent waiver of its right to rely on it later.
These Terms are drafted in French, which prevails in case of dispute.
